RECOMMENDATION(S)
Recommendation
1. Approve employment contract with Andrew Goldfrach to provide services as the Director of Arrowhead Regional Medical Center, with a working title of ARMC Chief Executive Officer for an estimated annual cost of $548,076 (Salary - $360,941, Benefits - $187,135), for the period of June 1, 2024 through May 31, 2027.
2. Authorize the Chief Executive Officer to execute amendments to extend the term of the contract for a maximum of two successive one-year periods on behalf of the County, subject to review by County Counsel.
3. Direct the Chief Executive Officer to transmit all employment contract amendments to the Clerk of the Board of Supervisors within 30 days of execution.

FINANCIAL IMPACT
Approval of this item will not require Discretionary General Funding (Net County Cost). Ongoing costs associated with this contract will be included in the Arrowhead Regional Medical Center (ARMC) 2024-25 Recommended Budget and will be included in future recommended budgets.
BACKGROUND INFORMATION
The Director of ARMC, with a working title of the ARMC Chief Executive Officer, will be responsible for directing, planning, and administering all medical programs and services, to ensure that inpatient and outpatient medical care services are provided to the residents of San Bernardino County. The Director/ARMC CEO is responsible for developing and implementing policies, procedures, systems, and programs that are compliant with regulatory, licensing, and accrediting agencies, including all federal and state laws, statutes, and County ordinances. The Director/ARMC CEO will also be responsible for the review of contracts for services provided by the medical center, directing and implementing the medical center budget, and making presentations to the Board of Supervisors as needed. Approval of this item will authorize an employment contract with Mr. Goldfrach to serve as the Director of ARMC/ARMC CEO.
Since joining San Bernardino County in 2020, Mr. Goldfrach has served as ARMC’s Chief Operating Officer. Prior to joining ARMC, Mr. Goldfrach was the Chief Executive Officer for University Hospitals Avon Rehabilitation Hospital, a joint venture hospital in Cleveland Ohio, where he brought that organization from it’s opening to a nationally top-rated hospital for quality. Mr. Goldfrach has held several senior level hospital positions across the United States throughout his nearly 20 years in healthcare management. Mr. Goldfrach has been on multiple boards and committees, including with the American College of Healthcare Executives of Southern California and Community Health Association of Inland Southern Region. Mr. Goldfrach is on faculty at Concordia University, Irvine, as an adjunct professor in their Master of Healthcare Administration program and routinely guest lectures in healthcare management at UCLA School of Public Health, USC Sol Price School of Public Policy, and Ithaca College in New York. Having graduated with his master’s in healthcare administration (MHA) from Washington University School of Medicine in St. Louis, and a bachelor’s degree in health policy from Ithaca College in New York, Mr. Goldfrach is board certified in healthcare management and a fellow in the American College of Healthcare Executives.
In this position as Director, Mr. Goldfrach will oversee ARMC, a state-of-the-art acute care hospital that serves as a 456-bed university-affiliated teaching hospital licensed by the State of California Department of Public Health, operated by the County, and governed by the Board of Supervisors. The hospital, located on a 70-acre campus in Colton, operates the Edward G. Hirschman burn center, a level I trauma center, comprehensive stroke center, a behavioral health center, and five primary care clinics. ARMC also provides more than 40 outpatient specialty care services, and as of the 2023-24 Adopted Budget, consists of 5,083 employees and a budget of approximately $851.9 million.
The recommended contract will be effective June 1, 2024, and shall remain in effect through May 31, 2027, subject to the termination provisions of the contract, and with the option to extend for a maximum of two successive one-year periods. Notwithstanding the foregoing, either party may terminate the contract at any time without cause, upon 14 days prior written notice to the other party. The County may terminate the contract immediately for just cause as defined in the agreement.
