Recommendation
Approve the revision of remittance for all invoices under Agreement No. 19-582, from National Decision Support Company, LLC to Change Healthcare Solutions, LLC, the sole owner of National Decision Company, LLC, with no changes to the agreement provisions or the amount of $755,800, and no changes to the total period of August 20, 2019, through the expiration or termination of the last Order Form.

Approval of this item will not result in the use of Discretionary General Funding (Net County Cost). This revision in remittance destination with National Decision Support Company is non-financial in nature.
BACKGROUND INFORMATION
On February 22, 2023, Arrowhead Regional Medical Center determined that all remittances under Agreement No. 19-582 with National Decision Support Company, LLC (NDSC) required a revision to Change Healthcare Solutions, LLC (Change Healthcare), the sole owner of NDSC. This revision is required due to Change Healthcare acquiring NDSC and thus changing the entity to which invoices are remitted. The change in remittance in the County’s enterprise financial system requires the Board of Supervisors’ (Board) prior approval. Agreement No. 19-582 will not be assigned to Change Healthcare, as all services will continue to be performed by NDSC and will continue as the contracting entity.
On August 20, 2019 (Item No. 12), the Board approved Agreement No. 19-582, including Order No. 1 with NDSC, in the amount of $245,000 for the three-year period of August 20, 2019 through August 19, 2022, for a CareSelect subscription compatible with the Meditech electronic healthcare system, which includes consulting services for diagnosis of advanced diagnostic imaging exams.
On December 8, 2020 (Item No. 8), the Board approved Amendment No. 1 to Agreement No. 19-582 with NDSC, to purchase an additional CareSelect subscription for consult services for diagnosis of advanced diagnostic imaging exams compatible with the Epic electronic healthcare system, increasing the contract amount by $161,000, from $245,000 to $406,000, for the one-year period from February 1, 2021 through January 31, 2022, with no change to the contract period of August 20, 2019 through August 19, 2022. This Amendment No. 1 is NDSC Order No. 2.
On January 25, 2022 (Item No. 12), the Board approved Amendment No. 2 to Agreement No. 19-582 with NDSC, for the subscription to CareSelect consult services for advanced diagnostic imaging exams, changing the term to an indefinite term so long as there is an active order, extending the term of Order No. 2 (Amendment No. 1) for an additional one year through January 31, 2023, and increasing the contract amount by $63,000, from $406,000 to $469,000.
On December 13, 2022 (Item No. 18), the Board approved Amendment No. 3 to Agreement No. 19-582 with NDSC, for the subscription to CareSelect consult services for advanced diagnostic imaging exams, increasing the contract amount by $286,800, from $469,000 to $755,800, extending the term of Order No. 2 (Amendment No. 1) for a total period of February 1, 2021, through the expiration or termination of the last Order Form to expire, which is currently January 31, 2026.
ARMC recommends approval of this revision in remittance destination with NDSC for continued access to the CareSelect subscription to comply with Protecting Access to Medicare Act and improve the quality of medical care to County residents.
PROCUREMENT
Agreement No. 19-582 was non-competitively procured based on specialized credentials as NDSC was the only federal partnering company compatible with Meditech, ARMC’s prior electronic health record system. When the final Order Form expires, ARMC will competitively solicit bids for these services as Meditech is no longer the hospital’s electronic health record system. The Purchasing Department continues to support this non-competitive procurement.
