Recommendation

Approve a non-financial Mutual Non-Disclosure Agreement with Modo Labs, Inc. to protect sensitive information, effective for the contract period of August 20, 2024 through August 19, 2027.

FINANCIAL IMPACT

Approval of this item will not result in the use of Discretionary General Funding (Net County Cost), as the Mutual Non-Disclosure Agreement (MNDA) with Modo Labs, Inc. (Modo) is non-financial in nature.

 

BACKGROUND INFORMATION

Modo Labs, Inc. (Modo) builds and deploys mobile applications for organizational use.  Modo will provide the Modo Aruba Application to Arrowhead Regional Medical Center (ARMC), a comprehensive solution that offers information about ARMC and provides interactive directions to locations within the ARMC campus, as well as application support.  The Modo Aruba Application will integrate the Aruba Meridian Mobile Application previously used at ARMC.

 

Approval of the MNDA will allow the County to protect sensitive information exchanged between Modo and ARMC such as building and floor plan maps for the integration of the Aruba Meridian Mobile Application which assists customers/patients with navigating the ARMC campus and connecting them to critical information, including site events and points of interest within the facility. The MNDA clearly defines confidentiality obligations and provides legal recourse in case of a breach. Additionally, the MNDA builds trust, facilitates open communication, and ensures effective collaboration without the risk of misuse or leakage of proprietary information. It supports a transparent and secure business relationship.

 

ARMC recommends approval of the MNDA with Modo to operate in a business-like manner by clearly defining confidentially obligations and by fostering a transparent and secure business relationship.
