Recommendation
Approve non-financial Affiliation Agreement, including non-standard terms, with San Antonio Regional Hospital to Participate in the Clinical Shadowing Program for High School Students, for the period of November 5, 2024 through November 4, 2025.

FINANCIAL IMPACT
Approval of this item will not result in the use of Discretionary General Funding (Net County Cost) as this Affiliation Agreement (Agreement) with San Antonio Regional Hospital (SARH) is non-financial in nature.
BACKGROUND INFORMATION
This Agreement will allow high school students to shadow healthcare professionals at Arrowhead Regional Medical Center (ARMC) through a Clinical Shadowing Program. The Clinical Shadowing Program was established by SARH in conjunction with the San Bernardino County Superintendent of Schools.
A major part of ARMC’s mission is to provide education to students in a variety of disciplines. ARMC has a number of agreements with universities and colleges, community colleges, as well as technical and trade schools to provide on-site clinical training for students. The Clinical Shadowing Program will give high school students the opportunity to gain valuable insight into various healthcare careers.
The Agreement is San Antonio Regional Hospital’s standard Affiliation Agreement and was negotiated by both parties. The Agreement includes the following non-standard terms and conditions:
1. The Agreement does not require SARH to meet the County’s insurance standards.
• County policy requires contractors to carry appropriate insurance at limits and under conditions determined by the County's Risk Management Department and as set forth in County policy and in the County standard contract.
• Potential Impact: The County has no assurance that SARH will be financially responsible for claims that may arise under the Agreement, which could result in expenses to the County.
2. The Agreement does not contractually require SARH to indemnify the County for any claims.
• The County standard contract indemnity provision requires the contractor to indemnify, defend, and hold County harmless from third party claims arising out of the acts, errors or omissions of any person.
• Potential Impact: SARH is not required to defend, indemnify or hold the County harmless from any claims, including indemnification for claims arising from the negligent or intentional acts SARH or the high school students involved in the program. If the County is sued for any claim, including any claim resulting from the conduct of SARH or the high school students, the County may be solely liable for the costs of defense and damages.
ARMC recommends approval of the Agreement, including the non-standard terms, as it provides
for the safety, health, and social service needs of county residents by helping to increase the pool of candidates to hire into the County workforce.
