Approve Amendment No. 1 to Contract No. 23-212 for assignment of the contract from Argus Associates, Inc. to Argus Associates, Inc., for information technology staffing services, effective November 1, 2024, with no changes to the existing fixed contract rates or term of March 28, 2023, through March 27, 2028.

FINANCIAL IMPACT
Approval of this item will not result in the use of additional Discretionary General Funding (Net County Cost). There is no cost associated with the assignment of the contract as there are no changes to the existing fixed contract rates or the original term. The costs associated with the utilization of these information technology (IT) staffing services are incurred on a fee-for-service basis. Departments and separate entities that utilize IT staffing services are responsible for ensuring adequate funding is included in their respective department budgets. Vendor fees are based on the position requested and the length of the project.
BACKGROUND INFORMATION
On March 28, 2023 (Item No. 44), the Board of Supervisors (Board) approved Contract No. 23-212 (Contract) with Argus Associates, Inc. for IT staffing services utilized throughout County departments at fixed rates, for the term of March 28, 2023, through March 27, 2028.
In September 2024, the County received a letter from Argus Associates, Inc. (Seller) that they had been acquired by Argus Associates, Inc. (Buyer) as of November 1, 2024. A W-9 was received with the same company name but new Tax Identification Number and business address. Amendment No. 1 (Amendment) to the Contract will allow for the assignment of the Contract from the Seller for assignment to the Buyer, a California corporation, enabling departments to continue to procure IT staffing services with no service interruptions.
Approval of the Amendment will enable the County to assign the Contract to the Buyer. The amendment process began following the receipt of the vendor’s letter on September 30, 2024, and initial W-9 form on October 8, 2024, and an updated W-9 form approximately two weeks later. Purchasing is requesting the Amendment be retroactively effective to align with the business acquisition date of November 1, 2024. The item is being presented to the Board at this time as it is the earliest available date following the completion of all required reviews.
