Recommendation
Approve Amendment No. 1 to Agreement No. 22-1251 with Hologic Sales and Service, LLC, effective August 6, 2024, to add additional equipment to the list of equipment that receives preventative software maintenance, repairs, and parts of additional digital mammography equipment, including upgrades of existing related hardware, increasing the total contract amount by $82,759 from $357,345 to $440,104, with no change to the contract period of January 7, 2023 through January 6, 2026.

FINANCIAL IMPACT
Approval of this item will not result in the use of Discretionary General Funding (Net County Cost) as the cost of $82,759 is funded by State Medi-Cal, Federal Medicare, private insurances, and other departmental revenue. Funding sources may change in the future pending any legislative activity related to the repeal and/or replacement of the Affordable Care Act. Adequate appropriation and revenue have been included in the Arrowhead Regional Medical Center (ARMC) 2024-25 budget and will be included in the 2025-26 recommended budget.
BACKGROUND INFORMATION
The Amendment with Hologic Sales and Service, LLC (Hologic Sales) to Agreement No. 22-1251 will provide ARMC with preventative software maintenance, repairs, and parts for the proprietary digital mammography equipment purchased from Hologic Sales in April 2023, for ARMC’s Fontana Health Center. Services also include upgrades to existing related hardware, ensuring compatibility with new and future software releases. ARMC has utilized digital mammography systems to improve the efficiency of exams, allowing an increased number of patients to be imaged. Digital imaging provides early detection of breast cancer and increases survival rates through timely treatment. This, in turn, provides higher quality patient care for county residents.
On December 13, 2022 (Item No.13), as the result of a non-competitive procurement, the Board of Supervisors (Board) approved Agreement No. 22-1251 with Hologic, Inc. for preventative software maintenance, repairs, and parts of digital mammography equipment in the amount of $357,345 for the term of January 7, 2023 through January 6, 2026.
On September 23, 2022 Hologic, Inc. assigned Agreement No. 22-1251 to Hologic Sales, a wholly owned subsidiary of Hologic, Inc. Agreement No. 22-1251 does not require the County’s consent for Hologic, Inc. to assign it to Hologic Sales.
ARMC recommends approval of the amendment with Hologic Sales, to allow ARMC to maintain, repair, and upgrade the digital mammography equipment, providing crucial tools for more accurate screenings and early detection of breast cancer.
