Approve Amendment No. 2 to Agreement No. 22-1251 with Hologic Sales and Service, LLC for preventative maintenance and repairs for mammography equipment, increasing the not-to-exceed contract amount by $3,697 from $440,104 to $443,801, with no change to the contract term of January 7, 2023, through January 6, 2026.

FINANCIAL IMPACT
Approval of this item will not result in the use of Discretionary General Funding (Net County Cost) as the cost of $3,697 is funded by State Medi-Cal, Federal Medicare, private insurances, and other departmental revenue. Funding sources may change in the future pending any legislative activity related to the repeal and/or replacement of the Affordable Care Act. Adequate appropriation and revenue have been included in the Arrowhead Regional Medical Center (ARMC) 2025-26 budget.
BACKGROUND INFORMATION
Amendment No. 2 to Agreement No. 22-1251 (Agreement) with Hologic Sales and Service, LLC (Hologic) will enable Hologic to provide preventative maintenance and repair services for ARMC’s Computer-Aided Detection (CAD) Hologic digital mammography equipment. The CAD Hologic equipment service was initially overlooked in the scope of the Agreement and should be part of the agreement.
Digital imaging provides early detection of breast cancer and increases survival rates through timely treatment, thus emphasizing the need to ensure the equipment remains operational. This, in turn, provides higher quality patient care for county residents.
On December 13, 2022 (Item No. 13), as the result of a non-competitive procurement, the Board of Supervisors (Board) approved the Agreement with Hologic, Inc. for preventative software maintenance, repairs, and parts for digital mammography equipment in the amount of $357,345 for the term of January 7, 2023 through January 6, 2026.
On September 23, 2022, Hologic, Inc. assigned the Agreement to Hologic. This assignment did not require the County’s consent under the terms of the Agreement.
On August 6, 2024 (Item No. 8), the Board approved Amendment No. 1 to the Agreement to add additional equipment to the list of equipment that receives software maintenance, repairs, and parts, increasing the contract amount by $82,759 from $357,345 to $440,104, with no change to the contract term of January 7, 2023 through January 6, 2026.
ARMC recommends approval of the amendment with Hologic, to allow ARMC to maintain and repair the digital mammography equipment, providing crucial tools for more accurate screenings and early detection of breast cancer.
