RECOMMENDATION(S)

Recommendation

1.                     Approve Agreement with Garner Holt Education Through Imagination, LLC, including non-standard terms, for customized Library Animaker Space Implementation and Sustainability equipment and services, in the amount of $1,490,199.60, for the period of October 10, 2025, through October 9, 2030.

2.                     Approve Agreement with Garner Holt Education Through Imagination, LLC, including non-standard terms, for professional development training, support, in the amount of $1,175,000, for the period of October 10, 2025, through October 9, 2030.

FINANCIAL IMPACT

Approval of this item will not result in the use of Discretionary General Funding (Net County Cost).  The total cost to the San Bernardino County Library (Library) for a customized Library Animaker Space Implementation and Sustainability equipment and services is expected to be $1,490,199.60 over a five-year term. The total cost to the Library for professional development training, support, and lessons is expected to be $1,175,000 over a five-year term. Adequate appropriation has been included in the Library’s 2025-26 budget and will be included in subsequent recommended budgets.

 

BACKGROUND INFORMATION

The Agreements will provide collaboration between the Library and Garner Holt Education Through Imagination, LLC for a customized Library Animaker Space Implementation and Sustainability equipment to be implemented at San Bernardino County’s Rialto Branch Library, located in Rialto, CA which will allow staff to develop Animaker Space library programs for children and adults in order to engage Library patrons in real-world, career-focused, hands-on science, technology, engineering, arts, and math (STEAM) with a focus on making things move, and all Library staff involved in Animaker Space programming will receive ongoing professional development training, support and lessons from Garner Holt Education Through Imagination, LLC to maintain up to date knowledge on the equipment used in library programs. The Library will be using a portion of the Library Enhancement Reserve set aside by the Board of Supervisors to fund the Agreements.

 

The Agreements for the Rialto branch will allow the Library to implement a new customized Library Animaker Space to provide more programs and STEAM curriculum for Library customers, allowing them to participate in the Garner Holt Educational experience while learning skills that will help to create career roadmaps and possibly inspire entrepreneurship in students as early as elementary school.

 

The Library has been working in collaboration with Garner Holt Education Through Imagination, LLC since April 26, 2022 (item No. 36), when the Board approved Contract No. 22-302 for Garner Holt Education Through Imagination, LLC to provide a customized Animaker Space and ongoing training at the Library’s Fontana branch from May 1, 2022 to April 30, 2027.

 

Garner Holt Productions, Inc. is the parent company of Garner Holt Education Through Imagination, LLC. The Agreements contains the following non-standard term which Garner Holt Productions, Inc. would not negotiate, which require Board of Supervisors approval:

 

1.                     Modified insurance provisions from the County standard contract.  The Waiver of Subrogation Rights provision has been deleted.  The Additional Insured and Policies Primary and Non-Contributory provisions have been revised to remove the requirement that additional insured endorsements shall not limit the scope of coverage for the county to vicarious liability but shall allow coverage for the County to the full extent provided by the plicy. 

                     The County standard contract contains the Additional Insured, Waiver of Subrogation, and Policies Primary and Non-Contributory provisions without modification. 

                     Potential Impact: The cumulative effect of the changes is that in the event there is a loss that might be covered by vendor’s insurance, the County potentially may not be fully covered by vendor’s insurance or vendor’s insurance company may seek to recover costs from the County. 

 

Library recommends approval of the Agreements, including all non-standard terms, as the vendor is able to provide unique Animaker Space technologies and services for Library, which will provide a significant benefit to the public.  

 

PROCUREMENT

The vendor was selected non-competitively due to the proprietary nature of their Animaker Space technologies and curriculum development. Purchasing concurs with the non-competitive justification of proprietary intellectual property.
