RECOMMENDATION(S)

Recommendation

1.                     Approve non-financial Memorandum of Understanding with Child Care Resource Center, Inc., including non-standard terms, to refer individuals who may benefit from the Road to Resilience program, which provides support to prenatal and perinatal individuals with substance use disorders or infants who were substance exposed, for a contract period of June 10, 2025 through June 30, 2027.

2.                     Authorize the Chair of the Board of Supervisors, Chief Executive Officer, or Director of the Department of Public Health to accept and execute any subsequent non-substantive amendments to the Memorandum of Understanding with the Child Care Resource Center, Inc., on behalf of the County, subject to review by County Counsel.

3.                     Direct the Director of the Department of Public Health to transmit any non-substantive amendments to the Memorandum of Understanding with the Child Care Resource Center, Inc., to the Clerk of the Board of Supervisors within 30 days of execution.

FINANCIAL IMPACT

This item is non-financial in nature and will not result in the use of Discretionary General Funding (Net County Cost).   

 

BACKGROUND INFORMATION

The Child Care Resource Center, Inc. (CCRC) Road to Resilience (RTR) program partners with health care clinics and social service partners across the region, to reduce substance exposure to infants and mitigate negative outcomes associated with prenatal and perinatal substance use disorders. Through the RTR program, CCRC will provide in-home and virtual case management to pregnant women with histories of substance use, and mothers of substance-exposed infants and their families. Services will include parenting support or concrete support that will prevent substance use or relapses and assist the mother with providing care for her infant.

 

Under the recommended Memorandum of Understanding (MOU), the Department of Public Health (DPH) agrees to identify individuals who may benefit from the services offered through the RTR program and provide a referral to CCRC. Under the stipulations of the RTR grant awarded to CCRC, an MOU is required between CCRC and agencies providing referrals to the RTR program. 

 

While the parties successfully negotiated some terms in this MOU, it includes the flowing non-standard terms: 

1.                     The MOU requires mutual indemnification by both parties.

                     The County standard contract does not include any indemnification or defense by the County of a contractor.

                     Potential Impact: By agreeing to indemnify CCRC, the County could be contractually waiving the protection of sovereign immunity. Claims that may otherwise be barred against the County, time limited, or expense limited could be brought against CCRC without such limitations and the County could be responsible to defend and reimburse CCRC for costs, expenses, and damages.

 

2.                     The MOU does not require CCRC to meet the County’s insurance standards as required pursuant to County Policies, 11-05, 11-07 and 11-07SP.

                     County policy requires contractors to carry appropriate insurance at limits and under conditions determined by the County’s Risk Management Department and as set forth in County policy and in the County standard contract.

                     Potential Impact: The County has no assurance that CCRC will be financially responsible for claims that may arise under the MOU, which could result in expenses to the County.

 

DPH recommends approval of the MOU with CCRC, including the non-standard terms, to work in partnership with CCRC to provide referrals to individuals who may benefit from RTR program services.
