Recommendation
Approve Amendment No. 1 to Agreement No. 23-577 with InvisAlert Solutions, Inc. for a patient observation compliance program, to add a Business Associate Agreement, with no changes to the total contract amount of $285,125 or the term of July 1, 2023 through June 30, 2028.

FINANCIAL IMPACT
Approval of this item will not result in the use of Discretionary General Funding (Net County Cost). The cost is funded by State Medi-Cal, Federal Medicare, private insurances, and other departmental revenue. Funding sources may change in the future pending any legislative activity related to the repeal and/or replacement of the Affordable Care Act. Adequate appropriation and revenue have been included in the Arrowhead Regional Medical Center (ARMC) 2025-26 budget and will be included in the future recommended budget.
BACKGROUND INFORMATION
On June 27, 2023 (Item No. 18), the Board of Supervisors (Board) approved Agreement No. 23-577 with InvisAlert, for a patient observation compliance program through their ObservSMART software, in the total amount of $285,125, for the term of July 1, 2023 through June 30, 2028.
Approval of Amendment No. 1 with InvisAlert Solutions, Inc. (InvisAlert) will incorporate a Business Associate Agreement (BAA). A BAA is a legally binding contract between a healthcare provider (ARMC) and a third party (InvisAlert) that ensures that the business associate properly protects and safeguards any protected health information provided by the healthcare provider to the business associate to provide the services required from the business associate. It was identified by ARMC Compliance that the ObservSMART hosted software platform collects, stores and transmits Protected Health Information. Executing this BAA will bring the Agreement between ARMC and InvisAlert into compliance with the Health Insurance Portability and Accountability Act.
ARMC recommends approval of Amendment No. 1 as it will enable the hospital to provide for the safety, health and social services needs of county residents and protect patient information.
