RECOMMENDATION(S)

Recommendation

Adopt Resolution that:

1.                     Finds and determines in accordance with County Policy No. 12-05, Leasing County Regional Park Real Property, Section 3, Exceptions to Policy, Paragraph D, Board Approval of Alternate Procedure, that the non-competitive negotiation of a lease agreement with the existing tenant Live Nation Worldwide, Inc., for the use of approximately 39.68 acres of County-owned Glen Helen Regional Park in San Bernardino as a large main stage amphitheater, which includes covered and lawn seating, for a term expected to exceed five years and rental revenue expected to exceed $5,000 per month, is in the best interests of the County, as a resulting lease agreement would serve the public with uninterrupted outdoor park and recreation use.

2.                     Approves and authorizes the Director of the Real Estate Services Department to negotiate the lease terms with the existing tenant Live Nation Worldwide, Inc. on a non-competitive basis for the property described in Recommendation No. 1, with rental revenue expected to exceed $5,000 per month, and for a term expected to exceed five years, as an alternate procedure in accordance with County Policy No. 12-05, Leasing County Regional Park Real Property, Section 3, Exceptions to Policy, Paragraph D, Board Approval of Alternate Procedure.

FINANCIAL IMPACT

Approval of this item will not result in the use of Discretionary General Funding (Net County Cost).  This action only authorizes non-competitive negotiations with the existing tenant and creates no financial commitments until a lease is finalized and approved by the Board of Supervisors (Board).

 

BACKGROUND INFORMATION

Approval of this item will authorize the Director of the Real Estate Services Department (RESD) to negotiate on a non-competitive basis, the Lease terms with the existing tenant Live Nation Worldwide, Inc. (Tenant) for the use of approximately 39.68 acres of County-owned Glen Helen Regional Park in San Bernardino as a large main stage amphitheater, covered and lawn seating, exclusive areas, concessions, restrooms, entry gates, backstage facilities, merchandise booths, security and first aid stations, chain link perimeter fencing and a paved area for automobile parking (Property) for a term expected to exceed five years and rental revenue expected to exceed $5,000 per month.

 

County Policy No. 12-05, Leasing County Regional Park Real Property, Section 3, Exceptions to Policy, Paragraph D, Board Approval of Alternate Procedure (Policy), states that in cases where a Solicitation of Proposals (SOP) for Regional Park leases would be required (i.e. competitive procurement), the Board may approve the use of an alternative procedure whenever the Board determines that compliance with the SOP requirements would unreasonably interfere with the financial or programmatic needs of the County, or when the use of an alternative procedure would otherwise be in the best interest of the County.

 

In addition, if a resulting new lease agreement should occur, Government Code section 25536(a) authorizes the Board, by a four-fifths vote, to enter into leases, involving leasing or subleasing all or any part of county-owned, leased, or managed property devoted to or held for ultimate use for airport, vehicle parking, fairground, beach, park, amusement, recreation, or employee cafeteria purposes, or industrial or commercial development incidental thereto.

 

The County currently leases the subject 39.68 acres of Glen Helen Regional Park to the Tenant under Revenue Lease Agreement No. 92-1023, originally approved by the Board on October 19, 1992 (Item No. 69).  Since its inception, the lease has been amended 13 times, including changes to naming rights, event types, revenue terms, and lease extensions, for a current term to expire on November 16, 2025.

 

The Tenant has also sent timely notice to the County to exercise its last remaining five-year option to extend the term under Revenue Lease Agreement No. 92-1023, for the period of November 17, 2025, through November 16, 2030.  The amendment reflecting the five-year term extension exercised by the Tenant will be brought forward to the Board for approval prior to the expiration date of November 16, 2025.  Negotiations of a new long-term lease will take place upon adoption of the recommended Resolution in this Board item and during this five-year extension period.

 

The non-competitive negotiation of the lease terms for the continued operation and use of the Property by the existing Tenant is in the best interests of the County, as a resulting lease agreement would serve the public with uninterrupted outdoor amphitheater park for live entertainment, events, concerts, and recreation use.

 

PROCUREMENT

By the Board’s adoption of the Resolution and pursuant to the Policy, RESD will negotiate on a non-competitive basis the new lease agreement of the Property with the existing Tenant with lease revenue expected to exceed $5,000 per month and a term expected to exceed five years.  Any resulting lease agreement shall be subject to future Board consideration and approval by four-fifths vote pursuant to Government Code section 25536(a).
