FINANCIAL IMPACT
Approval of this item will not result in the use of Discretionary General Funding (Net County Cost). The cost of $290,131.20 is funded by State Medi-Cal, Federal Medicare, private insurances, and other departmental revenue. Funding sources may change in the future pending any legislative activity related to the repeal and/or replacement of the Affordable Care Act. Adequate appropriation and revenue have been included in the Arrowhead Regional Medical Center (ARMC) 2025-26 budget and will be included in future recommended budgets.
BACKGROUND INFORMATION
The Agreement with Advanced Sterilization Products, Inc. (ASP) will allow ARMC to obtain preventative maintenance for four Sterrad sterilizers. The sterilizers use low-temperature, hydrogen peroxide gas plasma technology to sanitize a wide range of instruments efficiently and effectively. ARMC’s Sterile Processing Department manages and operates the sterilizers to clean and return the equipment to the operating rooms and other departments for patient care. Preventative maintenance includes “next available opening” service and support Monday through Friday, 7 am to 7 pm, and planned maintenance calls, which include parts, labor and travel. This Agreement also provides for unlimited non-user error corrective maintenance, with parts, labor and travel included. Based on historical records, ARMC estimates that each machine will require a minimum of five maintenance calls annually.
The Agreement was negotiated by the parties and deviates from the standard County contract terms as follow:
1. ASP limits its indemnity obligations to claims that arise from its performance under the Agreement that result from its negligence or willful misconduct.
• The County standard contract general indemnity provision requires the contractor to indemnify, defend, and hold County harmless from third party claims arising out of the acts, errors or omissions of any person.
• Potential Impact: ASP's indemnity obligation is more limited compared to the standard County general indemnity obligation. In the event a claim arises that falls outside the scope of ASP's limited indemnity obligation, the County could be financially responsible for the defense of the claim and any resulting judgment/settlement.
2. The Agreement does not include certain standard County insurance requirements, including provisions relating to declaring deductibles.
• The County standard contract requires contractors to carry appropriate insurance at limits and under conditions determined by the County's Risk Management Department.
• Potential Impact: Without all of the standard County insurance requirements, the County has no reassurance that ASP will maintain adequate and sufficient insurance to provide coverage to the County in the event of a claim. Insufficient coverage could result in the County being financially liable for the claims.
ARMC recommends approval of the Agreement, including the non-standard terms, to enable ARMC to obtain maintenance services for its sterilizers and ensure the Sterile Processing Department has proper functioning and sterilized equipment for use in medical procedures.
PROCUREMENT
The Purchasing Department supports this non-competitive procurement based on specialized credentials/expertise/training, as only ASP’s technicians, who are credentialed by the manufacturer of the Sterrad sterilizers, are authorized to perform maintenance and service on these sterilizers.
