RECOMMENDATION(S)

Recommendation

1.                     Acknowledge termination of non-financial Software Services Master Services Agreement No. 22-265 with Commvault Systems, Inc., for a cloud-based backup and recovery storage solution for critical County data, applications, and systems, effective November 10, 2025.

2.                     Approve Contract with Carahsoft Technology Corporation, an authorized CommVault Systems, Inc. reseller, for software subscription licenses and support services through California Participating Addendum No. 7-17-70-40-05 to the Utah National Association of State Procurement Officers Cloud Solutions (Master Agreement No. AR2472), for a total amount of $4,191,953, for the period of November 10, 2025 through November 9, 2027.

FINANCIAL IMPACT

Approval of this item will not result in the use of Discretionary General Funding (Net County Cost). The Innovation and Technology Department (ITD) operating costs are recovered via service rates approved annually by the Board of Supervisors (Board). The annual cost of CommVault Systems, Inc. (CommVault) software subscription licenses and support services is $2,095,976.50. Sufficient appropriation is included in ITD’s 2025-26 budget and will be included in future recommended budgets.

 

BACKGROUND INFORMATION

ITD operates and maintains two data centers for County departments. In 2004, ITD obtained an enterprise backup system to duplicate and restore critical County files, applications and databases maintained in the data centers. Commvault’s enterprise backup system was chosen as the best value for the County. Since its implementation, the platform has grown and has become critical to ITD’s disaster recovery plan and the Board has approved various maintenance and support agreements.

 

On April 12, 2022 (Item No. 20), the Board approved Software Services Master Services Agreement (MSA) No. 22-265, including non-standard terms, with Commvault for a cloud-based backup and recovery storage solution for critical County data, applications, and systems, for purchase amounts as authorized by County Policy for the period of April 12, 2022, through April 11, 2023, automatically renewing for equal one-year periods until either party gives notice of non-renewal.

On April 26, 2022 (Item No. 58), the Board approved California Participating Addendum No. 7-17-70-40-05 to the Utah National Association of State Procurement Officials (NASPO) Master Agreement No. AR2472 for Cloud Solutions with Carahsoft Technology Corporation (Carahsoft) for countywide purchases of cloud solution services. The NASPO Master Agreement expires on September 15, 2026. All new orders for CommVault Enterprise Backup System software subscription licenses and services under the Master Agreement must be placed prior to September 15, 2026. The subscription term for the licenses purchased may extend beyond that date and will be honored through the end of the term as stated on the order, not to extend beyond November 9, 2027. Indefinite or perpetual orders are not permitted.

 

With the approval of the contract with Carahsoft through California Participating Addendum No. 7-17-70-40-05 to the Utah NASPO Master Agreement No. AR2472, the NASPO Master Agreement terms supersede all prior agreements. As a result, MSA No. 22-265 is no longer valid or in effect, and formal acknowledgment of its termination by the Board is recommended for administrative record keeping and clarity.

 

ITD recommends approval of this contract to allow ITD to purchase Commvault software subscription and support services needed to continue to protect County data from corruption, deletion, and ransomware. 

 

PROCUREMENT

NASPO is a cooperative purchasing program that helps facilitate public procurement and is able to provide competitive pricing options due to its collective purchasing power. The procurement under NASPO consists of a competitive process, recognized to meet County purchasing standards, conducted by a lead agency. Utah is assigned as the lead agency for NASPO Master Agreement No. AR2472 for Cloud Solutions. Under this agreement, the State of California signed Participating Addendum No. 7-17-70-40-05 approving participation for the State, political subdivisions, and other eligible entities. As a political subdivision, the County is allowed to participate in this cooperative agreement.
