Recommendation
Approve Amendment No. 1 to Contract No. 24-459 with Steris Corporation for offsite sterile processing services, for assignment to Instrumentum California, LLC, with no change to not-to-exceed amount of $5,000,000 or contract period of July 25, 2024 through July 24, 2029.

FINANCIAL IMPACT
Approval of this item will not result in the use of Discretionary General Funding (Net County Cost) as the cost for the services is funded by State Medi-Cal, Federal Medicare, private insurances, and other departmental revenue. Funding sources may change in the future pending any legislative activity related to the repeal and/or replacement of the Affordable Care Act. Adequate appropriation and revenue have been included in the Arrowhead Regional Medical Center (ARMC) 2025-26 budget and will be included in future recommended budgets.
BACKGROUND INFORMATION
Approval of the Amendment will assign Contract No. 24-459 from Steris Corporation (Steris) to Instrumentum California, LLC (Instrumentum) and will enable ARMC to continue to utilize offsite sterile processing services.
On June 11, 2024 (Item No. 14), the Board of Supervisors approved Contract No. 24-459 with Steris, based on a competitive procurement, for offsite sterile processing services, in the not-to-exceed amount of $5,000,000, for a contract period of July 25, 2024 through July 24, 2029. Steris thereafter subcontracted with Sterile Processing Services of America, Inc., to provide the services under Contract No. 24-459.
On or about March 31, 2025, Instrumentum acquired all or substantially all of the assets of Sterile Processing Services of America, Inc. For that reason, the amendment to assign Contract No. 24-459 to Instrument is necessary for ARMC to continue to receive the offsite sterile processing services.
ARMC recommends approval of the Amendment to provide for the health and safety of County residents by providing support for the hospital’s sterilization services. These services are essential for medical staff at ARMC to provide safe and effective patient care.
