Recommendation
1. Approve Amendment No. 2 to Master Services and Subscription Agreement No. 21-727 with Joint Commission Resources, Inc., for the provision of quality improvement and compliance consulting services, increasing the amount by $800,000, from $800,000 to a total not-to-exceed amount of $1,600,000, and extending the agreement term by five years, for a total term of October 5, 2021 through December 31, 2031.
2. Designate the ARMC Chief Executive Officer as the authorized official to approve and sign Statements of Work and amendments to Statement of Work under the terms of the Master Services and Subscription Agreement, subject to review by County Counsel, so long as the aggregate costs do not exceed $1,600,000 and do not exceed the Agreement term.

FINANCIAL IMPACT
Approval of this item will not result in the use of Discretionary General Funding (Net County Cost). The cost of $800,000 is funded by State Medi-Cal, Federal Medicare, private insurance, and other departmental revenue. Funding sources may change in the future pending any legislative activity related to the repeal and/or replacement of the Affordable Care Act. Adequate appropriation and revenue have been included in the Arrowhead Regional Medical Center (ARMC) 2026-27 budget and will be included in future recommended budgets.
BACKGROUND INFORMATION
ARMC contracts with Joint Commission Resources, Inc. (JCR) for educational and consultation services, publications, and software solutions that support ARMC quality improvement and patient safety efforts. JCR offers a comprehensive range of educational programs, consultation services, publications, and software designed to complement the accreditation process of The Joint Commission (TJC), the national accrediting organization for ARMC. TJC is dedicated to continuously improving health care quality and patient safety by evaluating and accrediting health care organizations, including hospitals and other health care providers. As the nation's oldest and largest health care accrediting body, TJC accredits and certifies more than 22,000 health care organizations and programs across the United States.
The services and resources provided by JCR help ARMC prepare for and maintain compliance with TJC accreditation standards, supporting the organization's ongoing commitment to delivering safe, high-quality patient care. Amendment No. 2 to the Master Services and Subscription Agreement No. 21-727 (Agreement) will allow ARMC to continue receiving the services with JCR through December 31, 2031.
The specific scope of work will be determined by Statements of Work (SOWs), which will detail the services provided, the deliverables, and specific fees to be paid, all subject to the terms and conditions of the Agreement. Recommendation No. 2 authorizes the ARMC Chief Executive Officer to execute SOWs and Amendments to SOWs for consultative services under the Agreement, subject to review by County Counsel, so long as the aggregate costs do not exceed $1,600,000 and do not exceed the contract period eliminating the need to obtain Board of Supervisor’s (Board) approval for each individual Statement of Work.
On October 5, 2021 (Item No. 7), as the result of a non-competitive procurement, the Board approved the Agreement with JCR for quality improvement and compliance consulting services in the amount of $400,000, effective October 5, 2021 through October 4, 2026.
On January 23, 2024 (Item No. 10), the Board approved an increase in funding allocation to the Agreement with JCR to expand its services to three other programs, in the amount of $400,000 for quality improvement and compliance consulting services, increasing the total amount from $400,000 to $800,000, with no change to the term of October 5, 2021 through October 4, 2026.
On September 10, 2024 (Item No. 9), the Board approved Amendment No. 1 to the Agreement for the provision of quality improvement and compliance consulting services to extend the agreement term by approximately three months, for the total term of October 5, 2021 through December 31, 2026, with no change to the not-to-exceed amount of $800,000.
ARMC recommends approval of this Amendment as it will enable the hospital to maintain and improve facility operations, ensuring the continued delivery of safe, high-quality care to all patients.
