RECOMMENDATION(S)

Recommendation

1.                     Approve Amendment No. 1 to non-financial Master Agreement No. 23-565 with Teladoc Health, Inc., for software licenses, service, and equipment rental of clinical point-of-care devices, extending the original contract period of June 27, 2023 through June 26, 2026 to a contract period beginning June 27, 2023 and remaining in effect so long as the County has possession and use of the equipment, but no longer than September 30, 2028.

2.                     Approve an increase to the following Rental Agreements with Teladoc Health, Inc., for applicable taxes and fees not previously included for rental of two clinical point-of-care devices, in the total amount of $50,000, from $178,019 for a total contract amount of $228,019 for the contract period from August 10, 2023 through August 9, 2026:

a.                     Agreement No. 23-566: Rental Agreement for InTouch Lite 4 Device.

b.                     Agreement No. 23-567: Rental Agreement for InTouch Lite 4 Device.

FINANCIAL IMPACT

Approval of this item will not result in the use of Discretionary General Funding (Net County Cost). The cost of $50,000 is funded by State Medi-Cal, Federal Medicare, private insurances, and other departmental revenue. Funding sources may change in the future pending any legislative activity related to the repeal and/or replacement of the Affordable Care Act. Adequate appropriation and revenue have been included in the Arrowhead Regional Medical Center (ARMC) 2025-26 budget and will be included in future recommended budgets.

 

BACKGROUND INFORMATION

The Amendment to extend the term of the non-financial Master Agreement (Agreement) will allow ARMC to continue to maintain patient care levels through the utilization of telehealth mobile cart

devices that support point-of-care visits and clinical collaboration between healthcare providers.

 

The InTouch Lite 4 Devices (devices) have touch screen capabilities with a camera that is attached to a mechanical arm and provides different angles for patient evaluation (boom camera). This assists ARMC healthcare providers who are working offsite to make efficient, informed clinical decisions and simulate face-to-face patient care. The touch screen allows patients to type or select responses to physician inquiries if they are not able to communicate verbally. These devices have been particularly useful in the examination of stroke patients due to the need for rapid evaluation and treatment to prevent extensive brain damage, and as a result, the devices help the hospital to maintain Stroke Center certification.

 

On June 27, 2023 (Item No. 19), as the result of a non-competitive procurement, the Board of Supervisors (Board) approved a non-financial Master Agreement No. 23-565, with Teladoc Health, Inc., including non-standard terms, for software licenses, service, and equipment rental of clinical point-of-care devices, effective June 27, 2023 and remaining in effect (i) in relation to the rented devices for the duration of the rental set forth on the applicable Order Form and (ii) in relation to the purchased devices, for the period set forth in the applicable Order Form; provided that if no period is specified in the Order Form, then for a period of three years from the applicable Order Form date. The Board also approved Rental Agreements No. 23-566 and No. 23-567 and Order Form No. 23-568 with Teladoc, for rental of two clinical point-of-care devices, in the total amount of $178,019 for the three-year period commencing on the date of shipment. The Order Form specified a period of 36 months, which means that the Master Agreement No. 23-565 will expire on June 30, 2026.

 

The two InTouch Lite 4 Devices were shipped on August 10, 2023, with a rental  period of 36 months, which will expire on August 9, 2026. Approval of Recommendation No. 1 will extend the term of Master Agreement No. 23-565 to overlap the rental agreement and allow ARMC to continue utilizing the devices through August 9, 2026. ARMC expects to need continued use of the equipment through no later than September 30, 2028, and will work with Teledoc to execute new rental agreements upon expiration of the current rental agreements.

 

Approval of Recommendation No. 2 will increase the contract amount by $50,000 to cover sales tax, use tax, fees, and other related charges associated with the rental of two InTouch Lite 4 Devices that were inadvertently omitted from the original contract amount. The additional funding will ensure payment of outstanding charges and provide sufficient authority to cover anticipated taxes, fees, and related charges through the remainder of the agreement term, allowing ARMC to continue utilizing the devices without interruption.

 

ARMC recommends approval of the Amendment and increases to ensure that its providers have the necessary devices to provide critical point-of-care patient evaluation services at the hospital for the health and safety of county residents.
