Approve and add, as Amendment No. 1 to Contract No. 25-430 with NEC Corporation of America, Inc., Exhibit H - Novation, Assumption, and Release Agreement, effective September 1, 2026, which novates, assumes, and releases Contract No. 25-430 from NEC Corporation of America, Inc. to NEC National Security Systems, Inc., and adds standard County contract terms, for the provision of upgrades to the Automated Fingerprint Identification System, with no changes to the total amount of $6,094,669 or the term of June 10, 2025 through May 31, 2031.

FINANCIAL IMPACT
Approval of this item will not result in the use of Discretionary General Funding (Net County Cost) as it only approves and consents to the novation, assumption, and release agreement of an existing contract with NEC Corporation of America, Inc. (NEC) to NEC National Security Systems, Inc. (NSS). The novation does not change the Contract's amount of $6,094,669.
BACKGROUND INFORMATION
In 1985, the California Department of Justice (CAL-DOJ) created a statewide fingerprint identification network, known as CAL-ID, which was divided into eight regions, each using automated fingerprint identification services (AFIS) to allow access to the state's fingerprint database and to provide fingerprint identification services to law enforcement agencies within those regions. In the same year, Riverside and San Bernardino Counties joined to form and operate one of the regions, which is governed, along with member cities, through the Remote Access Network (RAN) Board pursuant to Penal Code section 11112.4.
The Riverside and San Bernardino CAL-ID AFIS is used to organize, store, analyze, and transmit fingerprint data to and from servers within other CAL-ID network participating agencies. For this network, CAL-DOJ wanted consistency throughout the state to provide all of the regions’ AFIS with reciprocal connectivity and communications to the state CAL-ID database.
Since the inception of the regional network, Riverside and San Bernardino Counties have used NEC for all AFIS equipment, software, and maintenance needs. This has ensured interoperability and integration, avoiding problems experienced by other regional networks contracting with other vendors. By utilizing NEC, the regional network has also been able to better identify individuals through establishing Memoranda of Understanding for searching fingerprints with the Federal Bureau of Investigation, the Las Vegas Metropolitan Police Department, and the Western Identification Network, which is comprised of the nine western states.
On June 10, 2025 (Item No. 112), the Board of Supervisors approved Contract No. 25-430 (Contract) with NEC, in the amount of $6,094,669, effective June 10, 2025 and continuing for six years, as required by NEC, with an option to extend for two additional years to upgrade the existing AFIS, including equipment, licensed software, programing, installation services, and maintenance.
On June 2026, NEC advised the Department that it had restructured, consolidated, and transferred assets, liabilities, and employees from its local government, law enforcement, and aviation business lines to NSS, a wholly-owned subsidiary of NEC. NEC anticipates completion of its restructuring on or before September 30, 2026, following its obtaining of the necessary consents from its customers.
Approval of this item will authorize NEC’s and NSS’s request to novate and assign Contract No. 25-430 to NSS so that NSS can take over all of the benefits and obligations of the contract from NEC and provide the County with the contracted-for services in NEC’s place. The agreement also adds the following standard County terms to Contract No. 25-430: Prohibition on Contracting with Entities that Require Certain Internal Confidentiality Agreements or Statements-Representation (FAR 52.203.18); Use of Biobased Products (FAR 52.223-1); Service Contract Labor Standards (FAR 52.222-52, 52.222-53, 22.1003-4); and the Levine Act - Campaign Contribution Disclosure to Contract No. 25-430. Finally, Amendment No. 1 replaces Exhibit F, a Levine Act - Campaign Contribution Disclosure form that had been completed by NEC, with a new Exhibit F, which is a disclosure form that has been completed by NSS.
