Body
COUNTY AND CHIEF EXECUTIVE OFFICER GOALS & OBJECTIVES
Provide for the Safety, Health and Social Service Needs of County Residents.
FINANCIAL IMPACT
Approval of this item will not result in the use of Discretionary General Funding (Net County Cost). The cost of $210,684 plus applicable taxes is funded by State Medi-Cal, Federal Medicare, private insurances, and other departmental revenue. Funding sources may change in the future pending any legislative activity related to the repeal and/or replacement of the Affordable Care Act. Adequate appropriation and revenue have been included in the Arrowhead Regional Medical Center (ARMC) 2026-27 budget and will be included in future recommended budgets.
BACKGROUND INFORMATION
The Maintenance Service Agreement (Agreement) with Bruker Scientific LLC (Bruker) will allow ARMC to obtain maintenance and service for a new Bruker MALDI Biotyper sirius one CA System (equipment). The equipment is used for the rapid identification of microorganisms in patient specimen cultures from various sources. The equipment enables faster identification of pathogenic microorganisms, supporting timely and appropriate patient treatment. ARMC is in the process of acquiring the equipment through a rental agreement with Beckman Coulter, Inc. (Beckman). The rental agreement with Beckman is currently being processed separately through the County’s Non-Standard Contract Request process pursuant to County Policy 11-05 and Standard Practice 11-05 SP1. The new equipment will replace the current equipment utilized by ARMC that was previously purchased on April 13, 2018.
Upon execution of the rental agreement, Beckman will provide a 12 month warranty period for the equipment effective on the equipment acceptance date. The Agreement with Bruker will be effective at the end of that warranty period and will provide complete service coverage with a 48-hour service commitment. Services include unlimited onsite emergency service visits for repairs; onsite response within two business days; coverage for spare parts, labor, and travel; one planned preventive maintenance visit; wear and tear parts; and high-priority remote technical support during normal business hours.
The Agreement is Bruker’s standard commercial agreement, which includes terms that differ from the standard County contract and omits certain County standard contract terms. The non-standard and missing terms include the following:
1. Bruker’s liability is limited to the greater of $2 million and the limits of insurance, excluding negligence, willful misconduct and violations of law.
• The County standard contract does not include a limitation of liability.
• Potential Impact: Claims could exceed the liability cap and the Agreement amount, leaving the County financially liable for the excess.
ARMC recommends approval of the Agreement for the provision of maintenance services for the equipment to ensure its optimal operation and reliability, thereby supporting patient safety and quality of care.
PROCUREMENT
Purchasing supports this non-competitive procurement based on specialized credentials/expertise/training. The service agreement with Bruker will allow the continued use of the Bruker MALDI Biotyper system for the rapid identification of microorganisms in patient specimen cultures required for appropriate patient treatment. The Bruker MALDI Biotyper equipment requires service from the manufacturer for specialized expertise and availability of parts.
