Approve Change Order No. 1 to Equipment Lease Purchase Agreement No. 26-170 with Motorola Solutions, Inc., to modify the equipment and software list, and to add a Subscription Software Addendum, with no changes to the not-to-exceed amount of $17,929,813.41, or the original agreement term of April 1, 2026 through April 1, 2028.

FINANCIAL IMPACT

Approval of this item will not result in the use of Discretionary General Funding (Net County Cost). The total cost of the Equipment Lease Purchase Agreement No. 26-170 (Agreement) with Motorola Solutions, Inc. (Motorola), is $17,929,813.41, including interest, for the Sheriff/Coroner/Public Administrator (Department) to acquire 2,000 new handheld radios and accessories and will be paid in three annual installments of $5,976,604.47, with the first payment paid on April 1, 2026 and two subsequent payments due in 2026-27 and 2027-28 respectively. The Subscription Software Addendum (SSA) being added to the Agreement with Motorola is non-financial in nature.

 

BACKGROUND INFORMATION

On March 24, 2026 (Item No. 65), the Board of Supervisors approved the Agreement, including non-standard terms, with Motorola to purchase 2,000 handheld radios and accessories to replace existing devices after the Department received notice from Motorola stating that it will no longer support the current radio platform, or manufacture or sell the necessary replacement parts to maintain the radios.

 

On May 5, 2026, Motorola advised the Department that it needed to modify the equipment, software, and accessory list to a new model of radios. To carry out and document the modification, Motorola requires the execution of Change Order No. 1 (Change Order). Approval of this item will allow the Department to receive the updated 2,000 handheld radios to ensure there is no disruption in service. Additionally, the Change Order will not change the original not-to-exceed amount or the term of the Agreement.

 

Motorola’s enterprise suite provides software necessary to operate the radio devices, including software for cellular communications through the radios, via annual software subscriptions. To access the additional software necessary to operate the radios’ cellular features listed in the Change Order, Motorola requires the Department to incorporate the SSA. The SSA includes Verizon’s flow down service terms that are applicable to the cellular communications feature to the radios. The SSA terms include a limitation to Verizon’s liability should certain occurrences, such as interruptions or failures in cellular service to the radios, or damage to the County’s equipment, occur.  Because the County’s contract is with Motorola, however, and not Verizon, if such issues were to occur, the County would seek any redress from Motorola.

 

The Department recommends approval of the Change Order to allow the Department to continue to purchase 2,000 handheld radios in support of the Department’s public safety duties, to include the necessary Verizon Flow Down SSA. Additionally, the inclusion of the SSA would allow the use of the same terms and conditions for future purchases, eliminating the need for further negotiation.
