Recommendation
Approve the non-financial Mutual Non-Disclosure Agreement with Surescripts, LLC, for a five-year period, from June 02, 2020, through June 1, 2025.

FINANCIAL IMPACT
Approval of the Mutual Non-Disclosure Agreement with Surescripts, LLC (Surescripts) will not result in the use of Discretionary General Funding (Net County Cost), as the recommended agreement is non-financial in nature.
BACKGROUND INFORMATION
Arrowhead Regional Medical Center (ARMC) has been attempting to negotiate a service and license contract with Surescripts for the Surescripts e-prescription systems. The Surescripts e-perscription will allow physicians to electronically prescribe medications to patients for controlled and non-controlled substances. Surescripts is the sole e-prescription vendor that works with the Epic electronic health record system that ARMC is implementing. ARMC requested a price quote from Surescripts on February 21, 20201 in an effort to further their negotiations, however Surescripts requires ARMC to maintain the confidentiality of any materials that they deem confidential, including the quote. This necessitated the creation of a Mutual Non-Disclosure Agreement between ARMC and Surescripts in order for negotiations to continue.
