FINANCIAL IMPACT

Approval of the Bylaws of the Governing Body of Arrowhead Regional Medical Center will not result in the use of Discretionary General Funding (Net County Cost) as there is no financial impact associated with the Bylaws.

 

BACKGROUND INFORMATION

Hospitals in California are required to have a Governing Body that is legally responsible for the conduct of the hospital and has total authority and responsibility for the hospital and medical staff.  The Board of Supervisors of the County of San Bernardino is the Governing Body for Arrowhead Regional Medical Center (ARMC) and is responsible for all aspects of the operation of ARMC, including the quality of medical and professional care rendered at the institution.

 

On April 19, 2011 (Item No. 75), the Board approved the Bylaws of the Governing Body (Bylaws) of ARMC.  The Governance Bylaws define the Board’s responsibilities as they relate to ARMC and Medical Staff operations.  These Bylaws provide the framework for the Board’s relationship with ARMC and the Medical Staff, including but not limited to the development of a governance plan; fiscal responsibility; the Board’s oversight of the organized Medical Staff; Fair Hearing and Appellate Review; the appointment of ARMC’s Director; and the organization of the JCC.  On July 24, 2012 (Item No. 16), the Board approved amendments to the Bylaws, which updated the ARMC Medical Director position.

 

On April 5, 2016, (Item #13) the Board of Supervisors approved revisions to the Bylaws.  These revisions included updated language to clarify the composition of the Joint Conference Committee and the requirements of the ARMC Medical Director; correct the meeting schedule; and minor grammatical errors. 

 

Recently, the Bylaws were reviewed by hospital administration to determine whether any revisions, additions, or corrections to the Bylaws were necessary.  After a thorough review, the only updates necessary are the correction of minor grammatical errors; in Article V, Medical Director, addition of the phrase, “also known as the Chief Medical Officer (CMO),”; and in Article VI, Compliance Officer, “Allied Health Professionals” is replaced with “Advanced Practice Professionals” and the acronym “APPs” is added.  These additions were necessary to update the Bylaws with the current industry language.  Once reviewed by ARMC Staff, State and regulatory agencies require ARMC present the Bylaws to the Board of Supervisors for final review and approval.
