FINANCIAL IMPACT

Approval of the Non-Financial Agreement for Residency Rotations will not result in the use of Discretionary General Funding (Net County Cost) as the agreement is non-financial in nature.

 

BACKGROUND INFORMATION

This Agreement for Residency Rotations will allow ARMC residents to obtain clinical experience, specifically in family planning services at Planned Parenthood of Pasadena and San Gabriel Valley. This agreement is effective February 9, 2021 through February 8, 2026.  The Agreement will offer the opportunity for resident physicians to gain experience caring for patients and performing procedures in specialties that ARMC may not offer, or does not have sufficient patients to provide appropriate experience.

 

Upon completion of training, resident physicians use this clinical knowledge to provide quality specialized patient care in the Inland Empire.  The Agreement with Planned Parenthood will provide for the health and social services needs of County residents by allowing ARMC resident physicians to obtain specific clinical experience, which will result in improved patient care.

 

ARMC operates several accredited residency programs.  Each program has specific requirements as to the numbers and types of patients a resident must provide care.  To meet these requirements, with respect to volume and type, it is necessary to provide educational opportunities at other facilities to supplement those available at ARMC.

 

This Agreement allows ARMC to provide a well-rounded educational program for its resident physicians and allows ARMC to work in a collaborative manner with Planned Parenthood.  The family planning services at Planned Parenthood will provide an appropriate educational opportunity to ARMC resident physicians.

 

The Agreement is based on the County’s standard contract with the following non-standard indemnification term: 

Indemnification

The County is required to indemnify, defend, and hold harmless Planned Parenthood from any and all claims, actions, losses, damages, and/or liability that is the result of the negligence/willful misconduct of the County or the County’s breach of its representations, warranties, covenants, or obligations under the Agreement.

                     The standard County contract does not contractually obligate the County from indemnifying the vendor under any circumstances.

                     Potential Impact:  By agreeing to indemnify Planned Parenthood, the County could be contractually waiving the protection of sovereign immunity.  Claims that may otherwise be barred against the County, time limited, or expense limited could be brought against Planned Parenthood without such limitations and the County would be responsible to defend and reimburse Planned Parenthood for costs, expenses, and damages, which could exceed the total contract amount.  It should be noted that Planned Parenthood is similarly obligated to defend, indemnify, and hold harmless the County.
