Recommendation
Approve Amendment No. 2 to non-financial Foundation Agreement No. 17-905, with CA Technologies, adding an audit report clause, with no change to the agreement period of December 21, 2017 through December 20, 2022.

FINANCIAL IMPACT
Approval of this amendment will not result in the use of Discretionary General Funding (Net County Cost). This agreement is non-financial in nature and does not commit the County to make any purchases. If future purchases are made under this agreement, the Innovation and Technology Department (ITD) will adhere to County purchasing policies and return to the Board for approval, if necessary. The cost for maintenance and support of CA Technologies software is included in the ITD Computer Operations 2020-21 Adopted Budget and will be included in future recommended budgets. Operating costs are recovered via service rates approved annually by the Board of Supervisors (Board).
BACKGROUND INFORMATION
On December 19, 2017 (Item No. 25), the Board approved non-financial Foundation Agreement No. 17-905 with CA Technologies that included terms and conditions to govern the purchase of software licenses, support, and professional services purchased directly from CA Technologies. ITD maintains a variety of different CA Technologies software platforms used to support several critical departmental applications, such as the Jail Information Management System and Property Information Management System, and for the cataloging of storage tapes that are used for data back up and part of the County’s disaster recovery plan. On October 22, 2019 (Item No. 19), the Board approved Amendment No. 1 to the Foundation Agreement with CA Technologies (formerly CA Inc.) adding termination provisions and providing for pro rata refund of prepaid license fees for the period December 21, 2017 through December 20, 2022. Approval of this Amendment will add an audit report clause to the Foundation Agreement. This clause allows for CA Technologies to conduct an audit on the County’s usage of its software at no additional cost to the County.
PROCUREMENT
Amendment No. 2 to the Foundation Agreement will be used to accompany future purchase orders to be approved, as necessary, per County Policy 11-04 Procurement of Goods, Supplies, Equipment and Services.
