Recommendation
Approve an Assignment and Assumption Agreement with Array Information Technology, Inc. and CGI Technologies and Solutions Inc. for the assignment of Agreement No. 20-876 including any amendments, exhibits, attachments, supplements, orders, and statements of work from Array Information Technology, Inc. to CGI Technologies and Solutions Inc., effective November 16, 2021, with no change to the contract terms and conditions.

FINANCIAL IMPACT
Approval of this item will not result in the use of Discretionary General Funding (Net County Cost). The total contract amount of $22,925,106 remains unchanged. All payments due will be directed to CGI Technologies and Solutions Inc. (CGI T&S) upon approval of this item.
BACKGROUND INFORMATION
On September 15, 2020 (Item No. 17), the Board of Supervisors (Board) approved Agreement No. 20-876 with Array Information Technology, Inc. (Array) to provide system integration services for the Assessor’s Information Management System (AIMS) Project from September 15, 2020 through June 30, 2025, in the amount of $22,925,106. On July 13, 2021 (Item No. 16), the Board approved Amendment No. 1 to Agreement No. 20-876 with Array revising the Statement of Work and Milestone Payment Schedule, with no change to the contract amount of $22,925,106 or term of September 15, 2020 through June 30, 2025.
On October 1, 2021, CGI Federal Inc., a wholly-owned subsidiary of CGI T&S, acquired all outstanding shares of Array. CGI T&S is a wholly-owned subsidiary of CGI Inc., which was founded in 1976, and is among the largest independent Information Technology (IT) and business process services firms in the world.
Agreement No. 20-876 Section G.9.2 states, “Neither the performance of this Contract, nor any part thereof, nor any monies due or to become due thereunder may be assigned by Consultant without prior written consent and approval of County”. Approval of the Assignment and Assumption Agreement would satisfy the requirements of Section G.9.2 and properly document CGI T&S’s acquisition of Array.
Assessor-Recorder-County Clerk (ARC) staff recommend transferring Agreement No. 20-876 from Array to CGI T&S to continue receiving systems integration services for the AIMS Project. All other terms and conditions of the agreement would remain unchanged.
