FINANCIAL IMPACT
Approval of this item will not result in the use of Discretionary General Funding (Net County Cost) as this Agreement with Riverside Community College District on behalf of Riverside City College (RCC) is non-financial in nature.
BACKGROUND INFORMATION
This Affiliation Agreement will provide clinical training at Arrowhead Regional Medical Center (ARMC) to nursing students from RCC. As a teaching hospital, ARMC has a number of agreements with educational institutions to provide onsite training for students. The clinical training is necessary for students to obtain their degrees, licenses, and/or certifications that will provide for safety, health, and social service needs of county residents.
The volume and diversity of ARMC patients provides a comprehensive educational opportunity to students from RCC, which is a fully accredited educational institution. RCC and ARMC will mutually determine the number of students that will receive training. The Affiliation Agreement ensures the students receive specialty onsite training and experience from ARMC and gain vital skills needed in developing a competent workforce. As a teaching hospital, ARMC expects to attract students to the county area, increasing the potential pool of future healthcare providers.
On May 22, 2018 (Item No. 28), the Board of Supervisors (Board) approved Agreement No. 18-258 with Riverside City College for its nursing students to obtain training for the period of May 22, 2018 to May 21, 2023.
The Agreement is based on ARMC’s standard affiliation agreement, negotiated by the parties, with the following terms that differ from the standard County contract terms:
1. The County agrees to indemnify RCC from claims that arise from the intentional or negligent acts of the County, including the acts, errors or omissions of ARMC, its employees, and agents.
• The standard County contract does not contractually obligate the County to indemnify the vendor for any reason.
• Potential Impact: In the event a claim is filed against RCC which is the result of an intentional or negligent act of the County, the County would be contractually required to pay for the defense and any resulting judgment/settlement of the claim.
2. RCC limits its indemnification obligation to the County for the negligent and intentional acts of RCC and RCC-affiliated individuals, including its employees, agents, and students.
• The County’s general indemnity provision requires the vendor to indemnify the County for the acts of any person, except where the claim arises out of the sole negligence or intentional misconduct of the County.
• Potential Impact: In the event a claim arises against the County that falls outside the scope of RCC’s limited indemnity obligation, the County could be solely liable for the cost of defense and judgment/settlement of the claim.
3. The County may terminate the Agreement with 30 days notice, but at the discretion of the County, any student that is undergoing training at ARMC at the time of termination may continue his/her training for that academic semester, and all obligations of RCC under the Agreement shall continue during that period.
• Under the County standard contract, the County may terminate the contract with 30 days advance notice with no other obligation.
• Potential Impact: If the County decides to terminate the Agreement while a RCC nursing student is undergoing training, ARMC may allow the student to continue until that academic semester, such that all obligations by the parties under the Agreement as to that student will continue until the end of the semester.
ARMC recommends approval of this Affiliation Agreement, including non-standard terms, to provide clinical training and experience to RCC nursing students, which will result in the students gaining vital skills needed to develop a competent workforce.
