Recommendation
Approve an Assignment and Assumption Agreement with Array Information Technology, Inc. and CGI Technologies and Solutions Inc. for the assignment of Agreement No. 20-876 including any amendments, exhibits, attachments, supplements, orders, and statements of work from Array Information Technology, Inc. to CGI Technologies and Solutions Inc., effective November 16, 2021, with no change to the contract terms and conditions.

FINANCIAL IMPACT
Approval of this item will not result in the use of Discretionary General Funding (Net County Cost). The total contract amount of $22,925,106 remains unchanged. All payments due will be directed to CGI Technologies and Solutions Inc. (CGI T&S) upon approval of this item.
BACKGROUND INFORMATION
On September 15, 2020 (Item No. 17), the Board of Supervisors (Board) approved Agreement No. 20-876 with Array Information Technology, Inc. (Array) to provide system integration services for the Assessor's Information Management System (AIMS) Project from September 15, 2020 through June 30, 2025, in the amount of $22,925,106. On July 13, 2021 (Item No. 16), the Board approved Amendment No. 1 to Agreement No. 20-876 with Array revising the Statement of Work and Milestone Payment Schedule, with no change to the contract amount of $22,925,106 or term of September 15, 2020 through June 30, 2025.
